Donaco International Limited (Donaco or the Company) is pleased to announce that it has today lodged with the Australian Securities and Investments Commission (ASIC) a copy of the orders made by the Supreme Court of New South Wales (Orders) approving the proposed scheme of arrangement pursuant to which On Nut Road Limited will acquire 100% of the shares in Donaco that it does not already own (DNA Shares), (Scheme). As a result, the Scheme is now legally effective.
A copy of the Orders lodged with ASIC are attached to this announcement.
Suspension of Trading
It is expected that Donaco shares will be suspended from trading on the ASX with effect from the close of trading today, 8 August 2025.
Scheme Consideration
On implementation of the Scheme, DNA shareholders who hold DNA Shares at the Scheme record date (being 5:00 pm (AEST) on Tuesday, 12 August 2025) (Scheme Record Date) will receive A$0.045 cash for each DNA Share held as at the Scheme Record Date (Scheme Consideration), in accordance with the terms of the Scheme. It is expected that the Scheme will be implemented, and the Scheme Consideration will be paid to DNA shareholders, on Tuesday, 19 August 2025.
